ASC Copilot Terms of Use

Welcome to ASC Copilot! These Terms of Use ("Terms") govern your access to and use of the ASC Copilot macOS application (the "App"), developed and provided by Jinhui Cheng.

Important: By downloading, installing, or using ASC Copilot, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By accessing or using ASC Copilot, you confirm that:

You are at least 13 years of age (or 16 in the European Economic Area)
You have the legal capacity to enter into a binding agreement
You agree to comply with all applicable laws and regulations
You have read and understood our Privacy Policy
You have legal authority to use any App Store Connect accounts or third-party services you configure

2. Service Description

ASC Copilot is a macOS tool designed to help developers manage App Store Connect workflows, including:

Metadata Management: Edit, translate, and optimize App Store metadata across multiple languages
IAP & Subscription Management: Create, localize, and upload in-app purchase content
Screenshot & Marketing: Organize screenshots, generate marketing assets, and compose preview videos
AI Translation: Cloud-based LLM translation or offline CoreML translation for ASO optimization
Data Sync: Bi-directional sync with App Store Connect API

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use ASC Copilot on compatible macOS devices.

3.1 License Restrictions

You agree NOT to:

Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or disassemble the App, except where applicable law expressly permits
Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)
Rent, lease, lend, sell, sublicense, or transfer the App to any third party
Use the App to provide commercial services to third parties without authorization
Use the App for any unlawful purpose or in violation of these Terms

4. Local-First Operation and Data Hosting

ASC Copilot is designed for local operation on your device. We do not provide cloud hosting for your project workspace and do not operate backend services that store your project content. All project data, credentials, and generated assets remain on your local machine.

5. Third-Party Services You Configure or Trigger

The App may connect directly from your device to third parties, including:

Apple App Store Connect API: For fetching, syncing, and uploading App Store data
LLM Providers (configured by you): For AI-powered translation and optimization
Model Download Hosts: When you request local model installation

Your use of those services is governed by their terms and privacy policies. You are responsible for reviewing and accepting those terms where applicable.

5.1 Apple App Store

ASC Copilot is distributed through the Apple App Store. Your use of the App is also subject to Apple's Terms and Conditions and Apple's Privacy Policy. Apple is not responsible for ASC Copilot, its content, or any claims related to the App. Apple has no obligation to provide maintenance or support for the App.

6. User Content and Responsibility

You retain all rights to content you enter or import into ASC Copilot, including metadata text, screenshots, generated marketing outputs, and localization data.

6.1 Local Storage Only

Since all content is stored locally on your device and is never transmitted to us, we do not obtain any rights to your content. You have complete ownership and control.

6.2 Content Responsibility

You are solely responsible for:

The legality and ownership of content you upload and process
Verifying generated or translated outputs before publication to the App Store
Ensuring compliance with Apple App Store guidelines and local law requirements
The accuracy of metadata, descriptions, and marketing materials you publish

7. User Responsibilities

7.1 Credential Security

You are responsible for:

Securing your own device and macOS user account
Ensuring that any App Store Connect API credentials you use are properly authorized
Protecting your LLM API keys and managing their usage limits
Revoking credentials promptly if you suspect unauthorized access

7.2 Data Backup

All data in ASC Copilot is stored locally on your device. You are responsible for:

Maintaining regular backups of your device (via Time Machine or other backup solutions)
Understanding that uninstalling the App will permanently delete all local data
Acknowledging that we cannot recover lost data

8. Prohibited Conduct

You agree not to:

Use the App for unlawful, infringing, or fraudulent activity
Attempt to bypass technical restrictions or abuse third-party APIs through the App
Use the App to submit misleading, fraudulent, or infringing content to the App Store
Interfere with the App's normal operation or security mechanisms
Share your license or subscription access with unauthorized users

9. Subscription and Payments

9.1 Paid Access

ASC Copilot requires a purchase or subscription to access its features. Additional resource packs or content may be offered as separate in-app purchases in the future.

9.2 Payment Processing

All purchases are processed by Apple through the App Store. Payment will be charged to your Apple ID account at confirmation of purchase. We do not collect or have access to your payment information.

9.3 Auto-Renewal

If applicable, subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

9.4 Managing Purchases

You can manage and cancel your subscription by going to your Apple ID account settings after purchase:

Open macOS System Settings
Click your name at the top
Select Media & Purchases → Manage
Find ASC Copilot and manage your subscription

9.5 Refunds

All purchases are processed through the Apple App Store. Refund requests must be submitted to Apple:

Request a refund for ASC Copilot

We do not control Apple's refund policies and cannot process refunds directly.

10. Intellectual Property

10.1 Ownership

ASC Copilot, including all content, features, functionality, and design (collectively, the "App Content"), is owned by Jinhui Cheng and is protected by international copyright, trademark, and other intellectual property laws.

10.2 Third-Party Assets

ASC Copilot uses Apple's SF Symbols and system frameworks, which are subject to Apple's licensing terms. All such assets remain the property of their respective owners.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding the accuracy or reliability of AI-generated translations, optimizations, or outputs
Warranties that the App will be uninterrupted, error-free, or compatible with all macOS versions
Warranties that third-party APIs (Apple ASC, LLM providers) will remain available or function as expected

AI Output Disclaimer: Translations and optimizations generated by AI (whether cloud-based or local) are provided as suggestions. You must review and verify all AI-generated content before publishing to the App Store.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or use
Costs of procurement of substitute goods or services
Any damages arising from AI-generated translations or content published to the App Store
Any damages arising from third-party API failures, changes, or discontinuation

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damages.

12.1 Maximum Liability

To the extent liability cannot be excluded by law, our total aggregate liability to you for any and all claims arising from or related to the App or these Terms shall not exceed the total amount you actually paid for ASC Copilot through the Apple App Store in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Jinhui Cheng and any affiliated parties from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

Your use or misuse of the App
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Content you create, upload, or publish through the App, including AI-generated content you choose to publish
Your use of third-party APIs or services configured within the App

14. Termination

14.1 Termination by You

You may terminate your use of the App at any time by:

Uninstalling the App from your device
Canceling your subscription (if applicable)

14.2 Termination by Us

We may terminate or suspend your license immediately, without prior notice, if you:

Violate these Terms
Engage in fraudulent or illegal activities
Reverse engineer or tamper with the App

14.3 Effect of Termination

Upon termination:

Your license to use the App will immediately cease
All data stored locally on your device will remain until you delete it or uninstall the App
Sections of these Terms that by their nature should survive (e.g., disclaimers, limitations of liability, indemnification) will continue to apply

15. Modifications to These Terms

We may update these Terms from time to time. When we make changes:

We will update the "Last Updated" date at the top
We will notify you through App Store update notes for material changes
Continued use of the App after changes constitutes acceptance of the new Terms

If you do not agree to the modified Terms, you must stop using the App.

16. Modifications to the App

We reserve the right to:

Modify, suspend, or discontinue the App (or any part thereof) at any time
Update the App to fix bugs, improve performance, or add features
Change or adjust available features and content offerings

We will make reasonable efforts to notify you of significant changes, but we are not obligated to do so.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in your country or region of residence, without regard to conflict-of-law principles, to the extent that mandatory local consumer protection laws apply.

17.2 Dispute Resolution

In the event of any dispute arising out of or related to these Terms or the App:

You agree to first contact us at [email protected] to attempt to resolve the dispute informally
If a dispute cannot be resolved informally within 30 days, it shall be subject to the jurisdiction of the competent courts in your country of residence

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

18. Export Control

You agree not to export or re-export the App in violation of any applicable export laws or regulations, including those of the United States, the European Union, or any other applicable jurisdiction.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

20. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jinhui Cheng regarding the use of ASC Copilot and supersede any prior agreements or understandings.
